OFFICIAL RULES (“OFFICIAL RULES”)
NO PURCHASE OR PAYMENT NECESSARY TO ENTER TO WIN.
ELIGIBILITY:
This May 2023 Charleston Wine + Food Enter to Win Sweepstakes (the “Sweepstakes”) is open to legal residents of the continental United States, who reside in the Charleston, SC Tri-County and who are 21+ years of age at the time of Entry, as defined below (“Entrant”). Entrants must be able to pick up the prize locally in Downtown Charleston. Employees of Distinctively Charleston Food and Wine Festival Inc (operating as Charleston Wine + Food) (“Host”), their respective affiliates, subsidiaries, advertising and promotion agencies, suppliers, and their immediate family members and/or those living in the same household of each are not eligible to participate in the Sweepstakes.
AGREEMENT TO OFFICIAL RULES:
By participating, Entrants agree to be fully unconditionally bound by these Official Rules and represent and warrant that they meet the eligibility requirements set forth herein. The Sweepstakes is subject to all applicable federal, state, and local laws.
SWEEPSTAKES PERIOD:
Entries, as defined below, will be accepted starting on May 5, 2023, at 10:00 AM and ending May 11, 2023, at 5:00 PM (“Sweepstakes Period”). All entries must be received by May 11, 2023, at 5:00 PM. All times are (GMT-05:00) Eastern Time (US & Canada). The Host’s computer shall be the official timekeeper for all matters related to this Sweepstakes.
HOW TO ENTER:
Entrants must submit an entry to the Sweepstakes by following entry rules via Charleston Wine + Food’s Instagram account or Facebook page. Entrants must fulfill all Sweepstakes requirements, as specified, to be eligible for a chance to win. Entries that are not complete or do not adhere to the rules or specifications may be disqualified at the discretion of Host. Multiple Entries are not permitted by the Entrant during the Entry Period. As an alternate method of entry, an Entry may be submitted online via the Sweepstakes Entry Page. Odds of winning will remain the same, and no discrimination shall exist, no matter how the Entrant enters to win. If Entrant uses fraudulent methods or otherwise attempts to circumvent the rules, their submission may be removed from eligibility at the discretion of Charleston Wine + Food.
ODDS OF WINNING THE PRIZE:
Odds of winning is dependent on the total number of eligible Entries received.
WINNER SELECTION AND NOTIFICATION:
Winners of the Sweepstakes will be selected in a random drawing by Host on or about May 12, 2023 (“Winner”). The potential Winner will be notified by Host via their social media account or via the email address provided from the Alternate Form of Entry. Host shall not have responsibility for the potential winners’ failure to receive notices due to the winner’s spam, junk email, privacy settings, or other security settings or for the potential Winners; provision of incorrect or otherwise non-functioning contact information. If the selected potential winner cannot be contacted, is ineligible, or fails to claim the prize within 72 hours from the time award notification was sent, Prize may be forfeited and an alternate winner selected. The receipt by potential Winner of the Prize offered in this Sweepstakes is conditioned upon compliance with any and all federal and state laws and regulations. Potential Winner may be required to execute and return an affidavit of eligibility, release of liability, and other legal documents as may be required by Host in its sole discretion (collectively, the “Prize Claim Documents”) at the time of prize pick up. Noncompliance within this time period will result in disqualification, and, at Hosts’ sole discretion, an alternate potential Winner may be selected from the remaining eligible Entries. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER (AT HOST’S DISCRETION) WILL RESULT IN SUCH WINNER’S DISQUALIFICATION AS WINNER OF THE SWEEPSTAKES AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.

WINNER AND GUEST CONDUCT:
Winner shall not, during Prize Package acceptance and participation, commit an offense involving moral turpitude under local laws or ordinances. Winner shall not commit any act that will tend to degrade the Sweepstakes Entities in society or bring the Sweepstakes Entities into public hatred, public disrepute, contempt, scorn, or ridicule, or that will tend to shock, insult or offend the community or public morals or decency or incite prejudice. In the event that the Winner engage in behavior that (as determined by Sweepstakes Entities at their discretion) is obnoxious or threatening, illegal, or that is intended to annoy, abuse, threaten or harass any other person, the Sweepstakes Entities reserve the right to terminate the Sweepstakes acceptance early and send the winner home with no further obligation related to the Sweepstakes prize.
Winner agrees to participate in the Prize Package at their own risk. Sweepstakes Entities will not replace any lost or stolen elements relating to Prize Package. Any costs of accepting and using the Prize shall be the sole responsibility of Winner. For the avoidance of doubt, Winner shall be solely responsible for all costs, expenses, and incidentals associated with Prize acceptance and use.
If any element of the Prize cannot be awarded due to circumstances beyond the control of the Host, substitute Prize element(s) of equal or greater retail value may be awarded at the discretion of Host. Should an act of God, hurricane, war, fire, riot, earthquake, act of public enemies, actions of governmental authorities, epidemics, pandemics and the spread of infectious diseases, and any related governmental or judicial actions, including but not limited to travel restrictions, taken in connection with, or as a response to, any such event, or any other event beyond the reasonable control of a party, whether or not existing, known, foreseen or foreseeable at the time this Sweepstakes occurs, render the redemption or fulfillment of all or a portion of the Prize delayed, hindered, adversely affected, impracticable, or impossible, Host in their sole and absolute discretion, reserve the right to evaluate, make modifications to, and restructure the redemption and fulfillment processes and timelines for the Prize. The Sweepstakes Entities shall not be liable for any injury, damage, loss, expense, accident, delay, inconvenience, or other irregularity that may be caused or contributed to (a) by wrongful, negligent, or unauthorized act or omission on the part of any of the independent Prize suppliers or any of their agents, servants, employees, or independent contractors, (b) by any defect in or failure of any vehicle, equipment, instrumentality, service, product, or accommodation that is owned, operated, furnished, or otherwise used by any of the Prize suppliers, (c) by the wrongful, negligent, or unauthorized act or omission on the part of any other person or entity not an employee of the Sweepstakes Entities, or (d) by any cause, condition, or event related to the Prize whatsoever beyond the control of the Sweepstakes Entities. ALL COSTS AND EXPENSES ASSOCIATED WITH THE RECEIPT OR USE OF ANY ELEMENT OF THE PRIZE ARE THE SOLE RESPONSIBILITY OF THE WINNER. Winner cannot assign or transfer any element of the Prize to another person except at the discretion of Host. No cash alternatives or substitutions allowed. All Prize-related elements are subject to availability. Other restrictions may apply. Any depictions of any element of the Prize are for illustrative purposes only.
TERMS:
Host reserves the right, in its discretion, to cancel, terminate, modify, or suspend the Sweepstakes should (in its sole discretion) a virus, bugs, non-authorized human intervention, fraud, or other causes beyond its control corrupt or affect the administration, security, fairness, or proper conduct of the Sweepstakes. In such case, Host reserves the right to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Sweepstakes website or violates these Terms & Conditions, including, but not limited to, the use of bots, macros, or scripts or other technical means for Entering. Should an Entrant attempt to deliberately damage any website or undermine the legitimate operation of the Sweepstakes, the Host reserves the right to seek damages from any such person to the fullest extent permitted by law.
CONDITIONS OF PARTICIPATION/RELEASES:
Each Entrant hereby releases the Sweepstakes Entities and each of their respective parent companies, affiliates, divisions, subsidiaries, agents, representatives, promotion and advertising agencies, and each such company’s employees, owners, shareholders, officers, and directors (collectively, the “Released Parties”) from any and all actions, claims, injuries, death, losses or damages arising in any manner, directly or indirectly, from participation in this Sweepstakes and/or acceptance or use of any element of the Prize. Winner hereby grants to Host and their designees, the irrevocable, royalty-free right and license to use their photo, video, name, voice, likeness, biographical data or information, city and state of residence, and entry materials in advertising, marketing, programming, research or promotional activities, worldwide in perpetuity, and on a winner’s list, if applicable, without further compensation, unless prohibited by law. Winner may be asked to participate in select publicity activities, as determined at the discretion of Host. Host is not obligated to use any of the above-mentioned information or publicity materials but may do so and may edit such information or materials, at the Sweepstakes Entities’ sole discretion, without further obligation or compensation. The Released Parties shall not be liable for: (i) any injuries, losses, liabilities or damages of any kind including personal injury or death caused by any element of the Prize or resulting from acceptance, possession or use of any element of the Prize, including participation in any Prize-related activity or travel related thereto, or from participation in the Sweepstakes; (ii) telephone system, telephone or computer hardware, software or other technical or computer malfunctions, lost connections, disconnections, delays or transmission errors; (iii) data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials; (iv) late, lost, delayed, stolen, misdirected, postage-due, incomplete, unreadable, inaccurate, garbled or unintelligible entries, communications or affidavits, regardless of the method of transmission; (v) any inability of Winner to accept or use any element of the Prize (or portion thereof) for any reason, such Prize or element thereof shall be forfeited; or (vi) any printing, typographical, human administrative or technological errors in any materials or activities associated with the Sweepstakes. Sweepstakes Entities disclaim any liability for damage to any computer system resulting from entering, participating in, or accessing or downloading information in connection with this Sweepstakes.
GOVERNING LAW:
Any and all disputes, claims, and causes of action arising out of, or connected with, this Sweepstakes, including without limitation, any alleged violation of these Official Rules, any controversy relating to the arbitrability of any dispute, or any claim that the Sweepstakes, or any part thereof, is invalid, illegal or otherwise voidable (or void), shall be resolved exclusively by arbitration to be held solely in Charleston, South Carolina under the auspices of the American Arbitration Association and pursuant to its Commercial Dispute Resolution Rules and Procedures. Judgment upon the arbitration award may be entered in any court having jurisdiction thereof. This arbitration provision shall be deemed to be self-executing, and in the event that either party fails to appear at any properly noticed arbitration proceeding, an award may be entered against such party notwithstanding said failure to appear. In no event shall an Entrant seek or be entitled to rescission, injunctive, or other equitable relief, or to enjoin or restrain the operation of this Sweepstakes.
PRIVACY POLICY:
The personal information provided by Entrants may be used as provided in Host’s privacy policy at https://charlestonwineandfood.com/privacy-policy/, and/or as provided in these Official Rules for details regarding the use of the personal information collected in connection with this Sweepstakes. In the event of any conflict between these Official Rules and either privacy policy, these Official Rules shall control. By participating the Sweepstakes, Entrants grant Host permission to correspond with them via email, phone, or social media account regarding the Sweepstakes, to share the Entrant’s email address and any other personally identifiable information with the corresponding Sweepstakes Entities or third parties for the purpose of Sweepstakes administration, communication, fulfillment, or for any other purposes permitted by these Official Rules or either privacy policy. Host will not sell, rent, transfer, or otherwise disclose Entrants’ personally identifiable information to any third party other than as permitted by these Official Rules or either privacy policy.

To obtain a Winner’s name or a copy of these Official Rules, send a request via email to connect@charlestonwineandfood.com or with a stamped, self-addressed envelope to Charleston Wine + Food May 2023 Sweepstakes Winner/Rules, Attn: Digital Marketing Manager, 635 Rutledge Ave., Suite 101, Charleston, SC 29403. Any requests for Winner notice and/or Official Rules must be received no later than May 31, 2023.
